I enjoy reading autobiographies of successful entrepreneurs that built something extraordinary from nothing. Although each person has their own path to success, there are some similarities to their stories. One is that they are built for success, no matter what happens. I mean their failures, disappointments, or factors that are not in their control may delay what they are trying to achieve but never stop them from achieving it. In the long run, it doesn’t matter whether interest rates are going up or down, there is an unexpected tariff policy or not, or even there is a world war or not. Good jockeys will always find a way to make the business thrive

Sam Walton is a great example of this. He started his first retail store in Newport, Arkansas. He distinguished the store by cutting down costs as much as possible and passing the savings on to customers. Basically, he sacrificed margin for higher volume, which made his business more profitable than its rivals. However, he had to give up whatever he built at the end of the store lease because the landlord wanted to keep the store for his son. In his autobiography, Walton says

It was the number one Ben Franklin store for sales or profit not only in Arkansas, but in the whole six-state region. It was the largest variety store of any sort in Arkansas, and I don’t believe there was a bigger one in the three or four neighboring states...We hadn’t made any mistakes that we couldn’t correct quickly, none so big that they threatened the business except it turned out for one little legal error we made right at the beginning. In all my excitement at becoming Sam Walton, merchant, I had neglected to include a clause in my lease which gave me an option to renew after the first five years. And our success, it turned out, had attracted a lot of attention. My landlord, the department store owner, was so impressed with our Ben Franklin’s success that he decided not to renew our lease at any price, knowing full well that we had nowhere else in town to move the store...I had no alternative but to give it up

Although Walton describes this failure as the lowest point in his career, it basically made the foundation for building Walmart

But I didn’t dwell on my disappointment. The challenge at hand was simple enough to figure out: I had to pick myself up and get on with it, do it all over again, only even better this time

The point is when you have Sam Walton as a jockey, chances are you end up with a great success even if there is a failure or disappointment along the way

I believe betting on Pabrai Wagons ETF (WAGN) is betting on a concentrated portfolio that includes companies with excellent jockeys, which were bought at reasonable valuations

Mohnish Pabrai

To understand Pabrai Wagons ETF, it is important to study Mohnish Pabrai’s approach to investing. Pabrai was born in Mumbai in 1964 and moved to the United States in 1983 to study Computer Engineering at Clemson University in South Carolina. He later founded an IT consulting company, TransTech, which he ran it from 1990 to 1999. He explains why he sold his business during his talk at University of California

According to Pabrai, he had no experience with investing in equity until 1994 when he read a book about Warren Buffett which sparked his interest in value investing. This interest eventually led him to launch Pabrai Funds in 1999. Pabrai’s interest in Buffett’s approach to investing has just grown over time to the point that he was eager to spend $650K along with Guy Spier for a lunch with Buffett in 2007

In his book, The Dhandho Investor, Pabrai explains the Dhandho framework to earn high returns through low risk value method which consists of 9 principles

Focus on buying an existing business

Buy simple businesses in industries with an ultra-slow rate of change

Buy distressed businesses in distressed industries

Buy businesses with a durable competitive advantage (the moat)

Bet heavily when the odds are overwhelmingly in your favor

Focus on arbitrage

Buy businesses at a big discount to their underlying intrinsic value

Look for low-risk, high-uncertainty businesses

It’s better to be a copycat than an innovator (shameless cloner)

While I encourage you to read the book for detailed description of each principle, the point is that these are the foundation of Pabrai’s strategy. It is rare to find any of his investments in the past 25 years that is not correlated to at least one of these principles

In recent years, Pabrai’s strategy has mostly focused on finding asymmetric bets where the odds are in his favor and the chances of losing any money are pretty low. In his talk at Google he explains why he loves these kind of companies

The key principles of Wagons ETF also follow some of the principles of Dhandho framework and mirror his focus on finding asymmetric bets and not selling them early

Additionally, Pabrai has focused extensively on finding great businesses that are managed by great people. Basically, he is trying to build a portfolio of businesses that are selected based on Dhandho principles with excellent jockeys running them. Chances are this results in a great outcome even if a few of those businesses were not as extraordinary as he initially thought that would be

Fund History

Pabrai Wagons Fund started its operations in September 2023 and converted from mutual fund to ETF in February 2026. The conversion has been beneficial to investors due to lower cost structure, tax efficiency, and higher liquidity and transparency. The current unitary management fee is 0.90%

In the first 9 months of operation, the fund performance was around 4% lower than S&P 500. The underperformance continued in 2025 with an annualized return more than 20% behind the index at the end of September 2025. Since then, the fund outperformed the S&P 500 and decreased its underperformance to less than 9%

A fair question is: if Pabrai was not able to outperform S&P 500 since September 2023, what gives me confidence that he will beat the market in the long run

To answer this question, let’s go back to Pabrai’s investment strategy. He is looking for great businesses at fair valuations. However, great businesses are often traded at fancy prices, especially when the greatness is pretty obvious to the market. This means Pabrai’s approach requires finding great businesses that are experiencing some sort of challenges that made investors fearful. As Warren Buffett wrote in 1989 annual letter to Berkshire shareholders

A great investment opportunity occurs when a marvelous business encounters a one-time huge, but solvable, problem as was the case many years back at both American Express and GEICO

Of course, the challenge is to be right about the solvability of the problem and its impact on the long-term profitability of the business. If that happens, it usually takes some time before the temporary problem is resolved and the market sees the opportunity. Remember, good jockeys will always find a way to overcome problems

Another reason is that some of his holdings are bought during downcycle and it takes some time for the industry to transition into the upcycle. Some of his investments are simply waiting for a catalyst or require more time for value creation

Additionally, the S&P 500 is currently traded at a forward P/E of around 22 compared to a 30-year average of 17. Looking at the historic correlation of the S&P 500 forward P/E with subsequent 10-year annualized returns, buying S&P 500 at the current valuations seems extremely risky with a historic 10-year annualized return of around 0

Over the long run, I believe betting on WAGN is likely to generate a higher return compared to the S&P 500. However, because Pabrai tends to look for opportunities among unwanted stocks where it is less crowded, patience is key. The WAGN portfolio includes around 20 holdings with low correlation to the index. This might be appealing for some passive investors looking to invest part of their fortune in something other than the S&P 500 index, which is at an all-time-high level of concentration

Around 16% of the fund has been allocated to Warrior Met Coal (HCC) and Alpha Metallurgical Resources (AMR). Here, Pabrai explains the mental model he used to initiate these investments. He bought the stocks at the bottom of the cycle when coal was highly unwanted and underinvested. That is why it took some time before the stock price started to go up and almost double in a year. Both companies are run by great capital allocators

Another pool of investment is in offshore drilling companies with 18% of the NAV invested in Transocean (RIG), Valaris (VAL), and Noble (NE). Similar to the coal investment, he used the boom-and-bust mental model to buy those companies when nobody liked them. The stocks have returned more than 100% over the last year

Outside the US, the fund has invested in companies in Turkey (Reysas, TAV Holding, Gimat Magazacilik, and TAB Gida), India (Edelweiss and Nuvama), Canada (Constellation Software, Topicus, and Lumine Group), Kazakhstan (Kaspi), Mongolia (Mongolian Mining), Greece (Danaos), and Poland (Sygnity)

For the investment in Turkey, Pabrai explains that he found companies that are immune to a high-inflation environment at an exceptional valuation. For instance, you can read my article on TAV Holding in which most of its revenue is in hard currencies while many costs are in local currencies. Basically, the inflation works in their favor

I think what is in common in most of these companies is they are run by good jockeys. For instance, Kaspi (KSPI) is run by its founder, Mikheil Lomtadze, who built a very successful business in Kazakhstan and is now trying to repeat his success formula in Turkey by the acquisition of Hepsiburada (HEPS)

This is what really makes this ETF interesting

Conclusion

Pabrai Wagons ETF includes companies that are run by great jockeys. The fund is geographically diversified and has low correlation with the S&P 500 index. This makes it a good alternative for passive investors looking to invest part of their fortune in something other than the S&P 500 index. Additionally, I believe it will outperform the index in the long run because the fund itself is run by a great jockey

من محسنم و تو این ایده میخوام درباره یک موقعیت ویژه دیگه صحبت کنم!

صحبتهای اولیه من رو گوش کنید تا بعد خود ایده رو توضیح بدم:

شرکتی که میخوام دربارش حرف بزنم اسمش هست Vera Bradley که با تیکر VRA معامله میشه:

حدود دو ماه پیش من در مورد این شرکت مقاله نوشتم که اینجا اون مقاله رو توضیح میدم و بروزرسانی میکنم. ضمن اینکه منبع خیلی از حرفها رو میتونید اونجا پیدا کنید. با این لینک بدون پی‌وال مقاله رو بخونید و بعد به توضیحات گوش کنید (۲ دقیقه آخر حرفهام قطع شده تو فایل اول که دوباره ضبط کردم و بعدش گذاشتم):

حالا بریم سراغ تز. تو چند سال اخیر تقریبا هر تصمیمی که برای این شرکت گرفته شده اشتباه بوده که تو فایل صوتی توضیح دادم. مهمترین اشتباهات هم خرید Pura Vida و بعد از اون تغییر فلسفه اصلی شرکت و روی آوردن به طراحی‌های مینیمال بود:

تو مقاله SA میتونید نمودارها رو ببینید تا متوجه بشید این دو تا اشتباه چه بلایی سر شرکت آورد.

به نظر من اولین اتفاق مثبت تغییر مدیرعامل و مدیر مالی بود:

به تغییر دیگه بورد هم دقت کنید. به نظر من این تغییرات میتونه نشونه‌ای از این باشه که هدف اصلی مهیا کردن شرکت برای فروشه. ضمن اینکه خصوصا مدیرعامل و مدیرمالی منفعتشون توی این فروشه چون آپشنهاشون زودتر وست میشه و تا ۱.۵ برابر حقوقشون میتونن بونس بگیرن.

پس اولین و شاید مهمترین موردی که تو قسمت قبل گفتم (تغییر مدیریت در جهت مثبت) به نظر میاد برای این شرکت تیک میخوره. مورد بعدی این بود که نشونه‌هایی از تحول رو ببینیم:

در نهایت میرسیم به داشتن نقدینگی کافی و خرید با قیمت مناسب که حاشیه امنیت بالایی داشته باشیم.

اول از ارزش liquidation شروع میکنم تا ببینیم downside تو افتضحاترین حالت (که به نظر من در حال حاضر جزء گزینه‌ها نیست) چقدره. به نظر من با توجه به داراییهاشون، خصوصا این دفتر و انبارشون، چیزی حدود ۲ دلار به ازای هر سهم فقط داراییهای نقد شونده این شرکت میرزه:

طبق چیزی که تو فایل صوتی توضیح دادم و با فرضیات محافظه‌کارانه، به نظر من این شرکت حداقل ۴.۲ دلار به ازای هر سهم میرزه. حالا اینکه شما چی رو حاشیه امنیت کافی میدونید به خودتون برمیگرده اما به نظر من تو قیمت پایین ۳ دلار شروع میکنه جذاب شدن و خب هر چی پایینتر بره جذابتر میشه.

تو چند ماه اخیر نشونه‌های اینکه این شرکت داره محیای فروش میشه هی زیادتر شده. اولیش خرید دوباره Fund 1 که اکتیویست هستش و تو دوران مدیریت قبلی تبدیل به بزرگترین سهامدار شرکت شد تا اینکه بورد از Poison Pill استفاده کرد. بعد از اون تو اواخر سال ۲۰۲۴ یک نامه به بورد نوشتن که شرکت باید وارد پروسه Strategic Alternatives بشه:

با اینکه تو سال ۲۰۲۵ نهایتا سهامشون رو فروختن، اما به تازگی شروع کردن مجددا سهام رو خریدن. یک اکتیویست دیگه هم، Saba Capital، به تازگی سهام رو خریده:

تو این ایده درباره شرکتی حرف میزنم که تو چند سال اخیر به خاطر تصمیمات مدیریتی اشتباه و پشت سر هم، قیمت سهامش به شدت پایین اومده. اما وضعیت خود بیزینس نه تنها اونقدرها هم بد نیست که حتی با مدیریت درست خیلی زود میتونه به روزهای خوبش برگرده. تو این شرکت خاص، تقریبا کل تیم مدیریتی عوض شده و نشونه‌هایی از بهبود داره دیده میشه که همین میتونه ایده رو جذاب کنه.

تو این توئیت قبلا در رابطه با ایده‌هایی از این دست و اینکه چرا میتونن جذاب باشن، نوشتم:

البته این ایده‌ها بدون ریسک هم نیستن. گاهی اتفاقهایی میفته که ما پیش‌بینی نکردیم. مثل مدیرعاملی که میاد از وضعیت سواستفاده میکنه و شرکت رو مفت از دست سهامداران درمیاره یا سیاهی‌ای که ادامه‌دار میشه یا مدیریتی که توانایی بهتر کردن وضعیت رو نداره و فقط برای باقیمونده پولهایی که تو شرکت مونده به نفع خودش نقشه کشیده یا اینکه اصلا تحلیل ما از وضعیت درست نبوده یا خیلی اتفاقات دیگه.

تو این شماره میخوام درباره شرکتی حرف بزنم که اواخر سال ۲۰۲۴ دیویدند خودش رو قطع کرد تا درآمدش رو برای رشد خودش هزینه کنه. همون موقع، ۶۵ درصد سهام یک شرکت دیگه رو خرید و شروع به سرمایه‌گذاری کرد تا مدل موفق خودش رو تو اون شرکت جدید هم پیاده کنه. این قطع دیویدند و افزایش capex و چند تا اتفاق دیگه که تو قسمت ویژه توضیح میدم، باعث شد که خیلی از سرمایه‌گذاران سهامشون رو بفروشن و تو سال ۲۰۲۵ بازدهی سهام اصلا جالب نباشه. اما برخلاف وضعیت سهام، خود شرکت وضعیتش بد نبوده و به نظر من افت قیمت سهام به خاطر بدتر شدن وضعیت بیزینس نبوده و همین موضوع این ایده رو جالب میکنه، ضمن اینکه بخشی از اون مشکلات رو پشت سر گذاشتیم و همین هفته پیش مدیریت اعلام کرد که در صورت موافقت سهامداران، دوباره میخوان پرداخت دیویدند رو شروع کنن. دیویدندی که با قیمت فعلی سهام، بازدهی حدود ۱۰ درصدی داره، اونم برای شرکتی که با P/E حدود ۶ معامله میشه (در مقایسه با مقادیر تاریخی حدود ۱۰). به نظر من همین شروع مجدد پرداخت دیویدند میتونه کاتالیستی برای بالا رفتن قیمت سهام باشه.

تو این شماره میخوام سه تا از ایده‌هایی که مربوط به بخش نشریات و تبلیغات آنلاین هست رو بروزرسانی کنم. با اینکه دو تا از این ایده‌ها رو مهدی مطرح کرده، من به خاطر علاقم به این بخش هر سه تاشون رو از زمانی که مطرح شدن دنبال میکنم و تو دو تاشون سرمایه‌گذاری کردم. چیزی که تو سه تاشون مشترکه اینه که تز اصلی ایده‌ها، یعنی تحول دیجیتال، تو سال ۲۰۲۵ به دلایل مختلف متوقف شده و همین هم باعث شده که این ایده‌ها بازدهی خوبی نداشته باشند و به جز یکیشون، بازار دیدش به شدت منفی باشه نسبت به سهام. حالا سوال اینجاست که توقف رشد قسمت دیجیتال موقتیه یا به نظر میرسه که دائمی باشه؟ جواب این سوال میتونه دید خیلی خوبی بده که این افت قیمت سهام فرصتیه برای خرید سهام یا نه. تو این شماره سعی میکنم اتفاقهایی که تو این سه تا شرکت افتاده رو توضیح بدم و نظر خودم رو درباره این سوال بگم.

همونطور که قبلا هم گفتم من از ایده‌های liquidation خیلی خوشم میاد و تا حالا چندتاییشون رو دنبال کردم. آشنایی اولیه من با این دست ایده‌ها از ایده شماره ۱۷ خبرنامه شروع شد که توصیه میکنم حتما توضیحات اون ایده رو گوش کنید اگه تا حالا این کار رو نکردید (ایده آزاد شده و در دسترس عموم هست). ایده شماره ۴۲ رو هم میتونید ببینید که اون هم از این دست ایده‌ها بود و هر دو مورد بازدهی خیلی خوبی داشتند.
